Terms of Service

These Terms of Service ("Terms") govern your use of the Deyin desktop application, the deyin command-line interface, and the Deyin website (collectively, the "Service"). Deyin is free and open-source software; these Terms apply to your use of our builds and website. Model access is provided through Openference and governed by Openference's own terms.
1. Acceptance of Terms
By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not download or use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
Deyin provides an agentic development environment: a desktop application and CLI that let you delegate software engineering tasks to AI agents operating on your local workspace with the permission controls you configure.
Deyin does not host or operate AI models. Model requests are routed through the Openference gateway under your Openference account, subject to Openference's terms, pricing, and rate limits. Your use of Openference is a separate agreement between you and Openference.
3. License
The Deyin source code is licensed under its open-source license, available in the repository. These Terms apply to your use of our distributions, website, documentation, and brand assets, which may have separate terms.
You may not use the Deyin name, logos, or branding to imply endorsement without prior written consent.
4. Your Responsibilities
You are responsible for:
- All code produced with the Service, including review before merging or shipping - Maintaining the security of your device, credentials, and workspaces - Configuring access levels appropriate to your risk tolerance - Compliance with all laws applicable to your use, including export controls
5. Acceptable Use
You may not use the Service to produce content or take actions that violate applicable law; to attack, probe, or disrupt systems you do not own or lack authorization for; or to abuse model access through Openference in violation of their terms.
Our Acceptable Use Policy ("Acceptable Use") is incorporated by reference into these Terms.
6. Accounts & Third-Party Services
Sign-in requires an Openference account (OAuth 2.0 + PKCE). Model routing, rate limits, plans, and billing are handled entirely by Openference; disputes about billing or availability should be directed to Openference support.
MCP servers, plugins, and other third-party components installed into Deyin run with the permissions you grant and are governed by their own terms. We do not endorse or warrant third-party components.
7. Privacy
Usage telemetry is opt-in and off by default. Diagnostics uploads occur only when you trigger them and are scrubbed of secrets first. Our Privacy Policy describes what data leaves your device and when; Openference's privacy policy governs gateway-side data handling.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
AI-generated output may be incorrect or incomplete. You are solely responsible for verifying changes before they are applied to production systems.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEYIN AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM (TYPICALLY ZERO) OR USD $100.
10. Indemnification
You agree to indemnify and hold harmless Deyin and its contributors from claims, damages, and expenses arising out of your use of the Service or your violation of these Terms.
11. Changes & Termination
We may update these Terms from time to time. Material changes will be announced on this page with a new "last updated" date. Continued use after changes take effect constitutes acceptance.
You may stop using the Service at any time. We reserve the right to withdraw builds or site features, though the open-source license to the code remains in effect under its own terms.
12. Governing Law
These Terms are governed by the laws of the United States and the state in which Deyin maintains its principal place of business, without regard to conflict-of-law principles. Venue lies exclusively in courts located there.
